Periyo Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Periyo (the "App," "we," "us," or "our"), a location-based social, professional, and business discovery application. By downloading, accessing, or using Periyo, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old to create a profile or use Periyo. By using the App, you represent and warrant that you are 18 or older and that the date of birth you provide is accurate. We do not knowingly permit anyone under 18 to use the App, and we may terminate any account found to violate this requirement.

2. What Periyo Does

Periyo lets you create up to three types of profiles — Personal, Professional, and (on eligible plans) a custom "Other" profile — and choose, field by field, what information to broadcast to other users physically near you. The App uses your device's location to identify shared interests between you and nearby users and to notify you of matches. Periyo also supports business discovery, professional networking, and optional third-party integrations such as Spotify.

Periyo is a discovery and introduction tool. We do not perform background checks, identity verification, or criminal history screening on any user unless expressly stated otherwise in the App. Any information a user provides about themselves is self-reported and not verified by us.

3. Your Account and Profile

• Periyo does not require a traditional username/password account. Your profiles are tied to a device-generated identifier stored on your phone.
• You are solely responsible for the accuracy of the information in your profile(s) and for any activity that occurs through your device.
• You agree not to impersonate any person or entity, or misrepresent your identity, age, affiliation, or the purpose of your use of the App.
• You may broadcast at most one profile at a time unless your subscription tier permits otherwise.

4. Prohibited Conduct

You agree that you will not use Periyo to:

• Harass, threaten, stalk, intimidate, defraud, or harm any other person, whether discovered through the App or not.
• Use location or profile information obtained through the App to track, surveil, or locate a person without their knowledge or consent, or for any purpose other than the App's intended social/professional discovery function.
• Post, transmit, or broadcast content that is unlawful, obscene, defamatory, hateful, or that exploits or endangers a minor. Any sexualized content or solicitation involving, or appearing to involve, a minor will be reported to the National Center for Missing & Exploited Children (NCMEC) and/or law enforcement, and results in immediate, permanent termination of access.
• Impersonate another person, business, or entity, or create a false profile.
• Use the App for prostitution, human trafficking, or any illegal solicitation of goods or services.
• Advertise, promote, or solicit business through the App outside of the features specifically designed for that purpose (Professional and Other profile business/broadcast features).
• Send spam, chain messages, or unsolicited commercial content.
• Upload content that infringes another party's intellectual property, privacy, or publicity rights.
• Reverse-engineer, scrape, data-mine, or use automated means to access the App or extract other users' information.
• Interfere with or attempt to disrupt the App's servers, matching systems, or notification infrastructure.
• Use the App for any purpose that is illegal under the laws applicable to you or to the person you are interacting with.

We reserve the right, but have no obligation, to review, remove, or restrict any content or account, and to suspend or terminate access to the App, at our sole discretion, with or without notice, for any violation of these Terms.

5. Reporting, Blocking, and Muting

Periyo provides tools to block, mute, and report other users. Use of these tools does not guarantee that reported content or conduct will be removed or acted upon in any particular way or timeframe. We are not obligated to take action on any report, though we may do so at our discretion, including account suspension or termination.

6. In-Person Meetings and Personal Safety

Periyo facilitates introductions between people who are physically near each other. You are solely responsible for your interactions with, and safety around, other users, both within the App and in person.

• We do not verify the identity, background, or intentions of any user.
• If you choose to meet another user in person, we strongly recommend meeting in a public place, telling a friend or family member where you're going, and using your own judgment about your personal safety.
• You assume all risk associated with interacting with other users, whether through the App or in person, and release Periyo and its operator from any claims, damages, or liability arising from such interactions.

7. User Content License

You retain ownership of the content you submit to your profile(s) (photos, bio text, and other fields). By enabling a field's "Show when broadcasting" toggle, you grant Periyo a non-exclusive, royalty-free, worldwide license to display that content to other users physically nearby, solely for the purpose of operating the App's matching and discovery features. This license ends when you disable the field, delete the content, or delete your profile, except to the extent copies persist briefly in backups or as required by law.

You represent that you have the right to share any content you upload and that it does not infringe any third party's rights.

8. Subscriptions and Payments

• Periyo offers a free tier and one or more paid subscription tiers with additional features. Pricing and included features are described within the App and are subject to change.
• Paid subscriptions are billed through the Google Play Store (and/or Apple App Store, where applicable) and are subject to that platform's payment terms, including auto-renewal unless canceled before the renewal date.
• Refunds are governed by the applicable app store's refund policy. We do not directly process payments or issue refunds outside of what the platform allows.
• You can manage or cancel your subscription at any time through your Google Play or Apple ID account settings.
• We may change subscription pricing or features going forward; changes will not retroactively alter a billing cycle you've already paid for.

9. Third-Party Services

Periyo integrates with third-party services, including Google Firebase, Google AdMob, and (optionally) Spotify. Your use of those integrations is also subject to each provider's own terms and privacy policy. We are not responsible for the practices, content, or availability of third-party services.

10. Advertising

Free-tier use of the App includes advertising served through Google AdMob. Paid tiers may reduce or remove advertising as described within the App.

11. Intellectual Property

The Periyo name, logo, app design, and underlying software are owned by Obsidian Dynamics (or its licensors) and are protected by intellectual property laws. Except for the limited license to use the App as intended, these Terms do not grant you any rights to our trademarks, branding, or software.

12. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR MATCH SUGGESTED BY THE APP, OR THE CONDUCT OF ANY USER.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUGGIE AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE APP OR YOUR INTERACTIONS WITH OTHER USERS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Periyo, its operator, and their officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your interactions with other users.

15. Termination

We may suspend or terminate your access to the App at any time, with or without cause or notice, including for violation of these Terms. You may stop using the App at any time. Sections of these Terms that by their nature should survive termination (including Sections 6, 7, 12, 13, 14, and 17) will survive.

16. Changes to the App and These Terms

We may modify, suspend, or discontinue any part of the App at any time. We may also update these Terms from time to time; material changes will be reflected by updating the "Last updated" date above, and continued use of the App after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [Your State], without regard to its conflict-of-laws principles. [This section should be finalized with an attorney — many consumer apps include a binding arbitration clause and class-action waiver here; whether that's appropriate depends on your business structure and target markets.]

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
